Real Estate

The development, financing and acquisition and leasing of real estate are vital components of community renewal. As needs change, creating businesses, residences and institutions to meet those emerging priorities becomes a major thrust that touches society at many levels. The corresponding legal issues may be complex. Cohen & Grigsby’s Real Estate Group helps clients successfully address those issues across the range of real estate and land use law. Real Estate Acquisition and Development

Our Real Estate Group represents developers, buyers, sellers, landlords and tenants across the full spectrum of real estate acquisition, development, leasing and disposition, including:

We frequently counsel businesses planning to build or expand their own facilities and help them negotiate the multitude of construction, financing, taxation, environmental and zoning issues which accompany real estate development. In addition, we represent buyers and sellers in drafting and negotiating purchase contracts, ground leases, site development agreements and project planning and feasibility studies, and we conduct closings and handle tax-planning issues. We also review and negotiate architectural and construction contracts on behalf of owners, architects and contractors.

Real Estate Finance

Access to appropriate, affordable financing clearly is a key to successful development or acquisition. This mission can become more difficult when credit is tight. To help, our Real Estate Group represents lenders, borrowers and investors in a vast variety of financial transactions, including loans for acquisitions, development and construction and bridge, project and permanent financing.

We are particularly well positioned to guide clients through the many means and approaches to financing, including traditional and institutional sources as well as public and quasi-public agency sources which may offer more attractive terms. Through our counsel, our clients utilize traditional debt financing and syndications, participations, convertible mortgages, land leases and joint ventures as well as the securitization and public or private offering of mortgage pools and similar collateralized mortgage obligations.

Leasing

We represent landlords and tenants in all aspects of lease negotiation, including equity participations and complex tenant construction issues. Our expertise in commercial real estate encompasses commercial, office, industrial and warehouse buildings, shopping centers, hotels and condominium and mixed-use projects, and we also represent property managers who are developing and leasing shopping centers, office buildings and industrial parks.

Land Use and Environmental Compliance

Government regulation of real estate development and acquisition is a constant, yet specific laws may yield to newer approaches. Through our comprehensive understanding of the role of government — at the state and local levels — we effectively represent commercial and residential developers and corporate and industrial entities in securing government authorization for residential, commercial and industrial projects. Our services include counsel in zoning, site plan and subdivision matters as well as related litigation before municipal and county boards and agencies.

In addition, we help our clients meet the increasing challenges posed by environmental issues. With the assistance of lawyers in our Environmental Group, we conduct and coordinate due diligence investigations and analyses, prescribe programs for compliance, shepherd projects through the regulatory process and anticipate and respond to a host of other environmental considerations.

International

We assist numerous German, Canadian and British clients with real estate interests in the United States on a range of transactional and business matters. Several of our attorneys are fluent in German and other languages. Combined with the experience of our international tax and immigration attorneys, we offer guidance for individuals and entities seeking to buy, sell, invest or transact business in the United States.
